Terms of use

THIS AGREEMENT BINDS YOU OR THE COMPANY YOU REPRESENT ("YOU", OR "YOUR") TO THE TERMS AND CONDITIONS SET FORTH HEREIN IN CONNECTION WITH YOUR USE OF THE SKILL LINK, LLC, DBA FYNDERFY ("OUR", "WE", "COMPANY" OR "FYNDERFY") SOFTWARE, SERVICES, PLATFORM OR OTHER OFFERINGS ON OUR SITE ("PLATFORM"). BY USING ANY OF THE COMPANY PRODUCTS OR CLICKING ON THE "SIGNUP" BUTTON, YOU AGREE TO BECOME BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, CLICK ON THE "CANCEL" BUTTON AND DO NOT USE THE COMPANY PRODUCTS. THE COMPANY'S ACCEPTANCE IS EXPRESSLY CONDITIONED UPON YOUR CONSENT TO ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, TO THE EXCLUSION OF ALL OTHER TERMS. IF THESE TERMS AND CONDITIONS ARE CONSIDERED AN OFFER BY THE COMPANY, ACCEPTANCE IS EXPRESSLY LIMITED TO THESE TERMS.

Any personal information submitted in connection with your use of the Platform is subject to our Privacy Policy.

The primary purpose of our Platform is to allow recruiters, candidates and educators an opportunity to connect and collaborate. Recruiters can use the Platform to find, qualify and quantify candidates who can use the Platform to learn and hone skills and expertise to build a 360-Degree ProfessionalProfile, and their industry-first skills and ProfessionalCredibility Score. Educators can use the Platform to offer Micro-Courses, Micro-Course Bundles, Micro-Exams, Certifications and Badge ("Educational Programs").

FYnderFY reserves the right to revise these terms at its sole discretion at any time by posting the changes on the Platform. Changes become effective thirty (30) days after posting. Your continued use of the Platform after changes become effective shall mean that you accept those changes. You should visit the Platform regularly to ensure awareness of the latest version of the Terms of Use.

FYnderFY may modify the Platform or discontinue its availability at any time. Users are solely responsible for all service, telephony, data charges and/or other fees and costs associated with access to and use of the Platform, as well as for obtaining and maintaining all telephone, computer hardware and other equipment required for such access and use.

If you elect to access or use the Platform and its products and/or services that involve payments of a fee and micro-payments to you, you agree to pay or receive payments and, if applicable, will be responsible for payment of said fee and taxes. You are subject to all taxes associated with such access, use and payments if you sign up to receive micro-payments. If credit card information is provided to pay for such fees, then you hereby represent and warrant that you are authorized to supply such information and hereby authorize FYnderFY to charge your credit card on a regular basis to pay fee's as they are due. Unless otherwise stated, all fees are quoted in U.S. Dollars. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms, which may include charging other payment methods on file with us and/or retaining collection agencies and legal counsel. We may also block your access to any products pending resolution of any amounts due by You to FYnderFY.

All use, access and other activities relating to the Platform must be in compliance with all applicable laws and regulations, including, without limitations, laws relating to copyright and other intellectual property use, and to privacy and personal identity. In connection with Your use of the Platform, You must not provide incorrect or knowingly false information; copy, distribute, modify, reverse-engineer, deface, tarnish, mutilate, hack, or interfere with the Platform; frame or embed the Platform; impersonate another person or gain unauthorized access to another person's account; introduce any virus, worm, spyware or any other computer code, file or program that may or is intended to damage or hijack the operation of any hardware, software or telecommunications equipment, or any other aspect of the Platform operation; scrape, spider, use a robot or other automated means of any kind to access the Platform.

The Platform is only for recruiters, candidates and educators and/or registered users. We do not hire or employ instructors nor are we responsible or liable for educator content. We are not responsible for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to conduct of recruiters, candidates and educators and/or registered users, including, but not limited to, any user's reliance upon any information provided by an educator.

We do not control submitted content (as defined below) posted on the Platform and, as such, do not guarantee in any manner the reliability, validity, accuracy or truthfulness of such submitted content. You also understand that using the Platform may expose you to submitted content that you consider offensive, indecent, or objectionable. FYnderFY has no responsibility to keep such content from you and no liability for your access or use of any submitted content.

The Platform may give you access to links to third-party websites ("Third-Party Sites"). FYnderFY does not endorse any of these Third-Party Sites and does not control them in any manner. Accordingly, FYnderFY does not assume any liability associated with Third-Party Sites. You need to take appropriate steps to determine whether accessing a Third-Party Site is appropriate, and to protect your personal information and privacy on such Third-Party Sites.

You may only access the Platform for lawful purposes. You are solely responsible for the knowledge of and adherence to any and all laws, rules and regulations pertaining to your use of the Platform. You agree not to use the Platform or the FYnderFY content (as defined below) to recruit, solicit, or contact in any form, instructors or potential users for employment or contracting for a business not affiliated with us without our advance written permission, which may be withheld at our sole discretion. You assume any and all risks from any meetings or contact between you and any Instructors or other users of the Platform.

If you are a user of the Platform, you represent, warrant and covenant that:

You have read, understood and agree to be bound by the pricing/payment information before using the Platform
You are over the age of 18 or have obtained parental or legal guardian consent before using the Platform
You will not upload, post or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes or any other form of solicitation (commercial or otherwise) through the Platform
You will not post any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, infringing, defamatory or libelous content
You will not reproduce, distribute, publicly display, publicly perform, communicate to the public, create derivative works from or otherwise use and exploit any FYnderFY content, the products or courses or submitted content except as permitted
You will not disclose any personal information to an instructor/educator, and otherwise will assume responsibility for controlling how Your personal information is disclosed or used, including, without limitation, taking appropriate steps to protect such information
You will not solicit personal information from any instructor or other user
You will maintain your enrollment and account information, and all such enrollment and account information shall be accurate

If you are the educator in connection with FYnderFY's Educational Program, you are an "Educator" and the following additional terms and conditions apply and you represent, warrant and covenant that:

You are subject to FYnderFY's approval, which we may grant or deny at our sole discretion
Your content may be reviewed and/or denied by FYnderFY
You will sign up to the Platform as an Educator. If you will charge fees for your Educational Programs, you are subject to the Company's approval to join and access the Platform which we may grant or deny at our sole discretion
Your user and company data may be reviewed and/or denied by FYnderFY
You agree to the FYnderFY free and for-fee pricing and micro-payment terms
You will be responsible for all of your submitted content that you own or have the necessary licenses, rights, consents and permissions, and have the authority to authorize FYnderFY to reproduce, distribute, publicly perform (including by means of a digital audio transmission), publicly display, communicate to the public, promote, market and otherwise use and exploit any of your submitted content on and through the Platform and that no submitted content shall infringe or misappropriate any intellectual property right of a third party
You have the required qualifications, credentials and expertise, including, without limitation, education, training, knowledge and skill sets, to teach and offer the services you offer on and through the Platform
You will not use the Platform for any business other than for providing training and/or course content, teaching and instructional/educational services to users of the Platform
You will not engage in any activity that will require FYnderFY to obtain any licenses from or pay any royalties to any third party, including, by way of example and not limitation, the payment of royalties for the public performance of any musical works or sound recordings
You will not copy, modify or distribute FYnderFY content
You will not interfere with or otherwise prevent other Instructors/Educators from providing their Educational Programs

You are a "Recruiter" if you are using the Platform to help with identifying, researching, sourcing and/or hiring active and passive candidates. The following additional terms and conditions apply, and you represent, warrant and covenant that:

You are subject to FYnderFY's approval, which we may grant or deny at our sole discretion
Your content may be reviewed and/or denied by FYnderFY
You will sign up to the Platform as a Recruiter and if you will be charged fees as listed at recruiterplans.com, you agree to the FYnderFY micro-payment terms for recommending Educational Programs;
Your user and company data may be reviewed and/or denied by FYnderFY
You will be responsible for all of your and your company's job posts, that you have the necessary rights, consents and permissions, and the authority to authorize the Company, to distribute, publicly display job ad/s and/or posts
You have the required qualifications, credentials and expertise to recruit and collaborate with other users on and through the Platform
You will not use the Platform for any business other than for recruiting services to users of the Platform
You will not copy, modify or distribute FYnderFY content
You will not interfere with or otherwise prevent other recruiters from interaction with other users of the Platform

You are the "Candidate" if you are using the Platform to take Educational Programs, build a FYnderFY 360-ProfessionalProfile, and/or use the Platform to be an active or passive job candidate. The following additional terms and conditions apply and you represent, warrant and covenant that:

You are subject to FYnderFY's approval to join and access the Platform, which we may grant or deny at our sole discretion
You confirm your user data and profile data are accurate and not misrepresented
Your user data and profile may be reviewed for accuracy or verified and/or denied by FYnderFY
You will sign up to the Platform as a Candidate
You agree to the FYnderFY micro-payment terms for Educational Programs
You will be responsible for all of your profile data management, administration of that data and accuracy of such data;
You have the skills, credentials and expertise as listed on your profile and for other users on and through the Platform to view
You will not use the Platform for any business other than to take courses, exams, certifications and badges, build/maintain a digital profile, and/or use the Platform as active or passive job candidate
You will not copy, modify or distribute FYnderFY content
You will not interfere with or otherwise prevent other Candidates from interaction with other users of the Platform

To use the Platform, you will need to register and obtain an account, username and password. The information provided during the registration process will help us set you up as a user, offer services and products and provide customer service and network management. You are solely responsible for maintaining the confidentiality of your account, username and password (collectively, your "Account") and for all activities associated with or occurring under your Account. You represent and warrant that your Account information will be accurate at all times. You must (a) notify us immediately of any unauthorized use of your Account and any other breach of security, and (b) ensure that you exit from your Account at the end of each use. We cannot and will not be responsible for any loss or damage arising from your failure to comply with the foregoing requirements or as a result of the use of your Account, either with or without your knowledge, prior to your notifying us of unauthorized access to your Account.

You may not transfer your Account to any other person, and you may not use anyone else's Account at any time without the permission of the account holder. In cases where you have authorized or registered another individual, including a minor, to use your Account, you are fully responsible for (i) the online conduct of such user; (ii) controlling the user's access to and use of the products; and (iii) the consequences of any misuse.

All software, patents, IP, technology, designs, materials, information, communications, text, graphics, links, electronic art, animations, illustrations, artwork, audio clips, video clips, photos, images, reviews, feedback, ideas and other data or copyrightable materials or content, including the selection and arrangements thereof is "Content." Whereas FYnderFY provides Content to you in connection with the Platform, including, without limitation, the software and the Platform, it is "Company Content." Content uploaded, transmitted or posted to or through the Platform by a user or instructor/educator is "Submitted Content." Content remains the proprietary property of the person or entity supplying it (or their affiliated and/or third-party providers and suppliers) and is protected, without limitation, pursuant to U.S. and foreign copyright and other intellectual property laws. You hereby represent and warrant that you have all licenses, rights, consents and permissions necessary to grant the rights set forth in these Terms of Use to the Company with respect to your Submitted Content and that FYnderFY shall not need to obtain any licenses, rights, consents, or permissions from, or make any payments to, any third party for any use or exploitation of your Submitted Content as authorized in these Terms of Use or have any liability to you or any other party as a result of any use or exploitation of your Submitted Content as authorized in these Terms of Use.

You hereby grant FYnderFY a nonexclusive right and license to reproduce, distribute, publicly perform, offer, market and otherwise use and exploit the Submitted Content on and through the Platform, and to sublicense it to instructors/educators and Platform users for these purposes directly or through third parties. Notwithstanding the foregoing, you have the right to remove all or any portion of your Submitted Content from the Platform at any time. Removal of your Submitted Content will terminate the foregoing license and rights sixty (60) days after such removal as to new uses, provided, however, that any rights given to users or instructors/educators prior to that time will continue in accordance with the terms granted to such users or instructors/educators.

FYnderFY hereby grants you (as a user) a limited, nonexclusive, nontransferable license to access and use Submitted Content and Company Content, for which you have paid all required fees, solely for your personal, noncommercial, educational purposes through the Platform, in accordance with these Terms of Use and any conditions or restrictions associated with particular Educational Programs. All other uses are expressly prohibited without our express written consent. You may not reproduce, redistribute, transmit, assign, sell, broadcast, rent, share, lend, modify, adapt, edit, create derivative works of, license, or otherwise transfer or use any Submitted Content or Company Content unless we give you explicit permission to do so. Submitted Content and Company Content is licensed, and not sold, to you. Instructors/educators may not grant you license rights to Submitted Content you access or acquire through the Services and any such direct license shall be null and void and a violation of these Terms of Use.

You agree that FYnderFY may record all or any part of any Educational Programs (including voice chat communications) for quality control and delivering, marketing, promoting, demonstrating or operating the Platform and the products. You hereby grant FYnderFY permission and release to use your name, likeness, image or voice in connection with recruiting activities as well as, offering, delivering, marketing, promoting, demonstrating and selling the Platform, Educational Programs, Company Content and Submitted Content and waive any and all rights of privacy, publicity, or any other rights of a similar nature in connection therewith.

FYNDERFY RESPECTS ALL COPYRIGHT, PRIVACY, DEFAMATION AND OTHER LAWS RELATING TO CONTENT AND INFORMATION AND WILL NOT TOLERATE VIOLATION OF SUCH LAWS. NOTWITHSTANDING THE FOREGOING, WHILE FYNDERFY PROVIDES A BASIC SCREEN OF THE SUBMITTED CONTENT, ALL USE OF THE SUBMITTED CONTENT BY YOU IS AT YOUR OWN RISK AND FYNDERFY SHALL INCUR NO LIABILITY FOR SUCH USE. IN PARTICULAR, NO REVIEW OR POSTING OR APPEARANCE OF THE SUBMITTED CONTENT ON THE PLATFORM OR THROUGH THE PRODUCTS IS INTENDED TO ACT AS AN ENDORSEMENT OR REPRESENTATION THAT ANY SUBMITTED CONTENT IS FREE OF VIOLATION OF ANY COPYRIGHT, PRIVACY OR OTHER LAWS OR WILL SUIT A PARTICULAR PURPOSE OR BE ACCURATE OR USEFUL.

If you believe that your Submitted Content violates any law or regulation or is inaccurate or poses any risk whatsoever to a third party, it is your responsibility to take such steps you deem necessary to correct the situation. If you believe that Submitted Content of a third party or any Company Content violates any laws or regulations, including, without limitation, any copyright laws, you should report it to FYnderFY at legal@interworks.com.mk.

All rights not expressly granted in these Terms of Use are retained by the Content owners and these Terms of Use do not grant any implied licenses.

Unless an Educational Program is made available through the FYnderFY Promotions Program (as described below), a course Instructor/Educator will be solely responsible for determining the fees to be charged for such Educational Programs, in accordance with the Instructor/Educator's terms and conditions found at FYnderFY Educators Terms and Conditions. If you are a user, you agree to pay the fees for all for-fee Educational Programs that you take, and hereby authorize FYnderFY to charge your credit card for these amounts. FYnderFY will charge your credit card monthly for all amounts owed. If your credit card is declined, you agree to pay FYnderFY the fees within thirty (30) days of notification from us, and pay (at our discretion) a late payment charge of 1.5% per month, or the maximum permitted by law, whichever is greater. FYnderFY also offers Candidates the opportunity to pay for Educational Programs upon a "hiring" event as described at the FYnderFY platform.

FYnderFY offers Users a thirty (30)-day, no-questions-asked money back guarantee on courses and Exams. If you, as a user, are unhappy with such a course and/or exam and request a refund within thirty (30) days of the date you paid for access to that course and/or exam, we will provide you with a full refund of the amount you paid. At the same time, any credits, skills or badges that you earned through the course and/or exam will be removed from Your FYnderFY 360-ProfessionalProfile.

To request a refund, please contact us via legal@interworks.com.mk Please note that if we believe you are abusing our refund policy, we, in our sole discretion, reserve the right to suspend or terminate your account and refuse or restrict any and all current or future use of the Platform, without any liability to you.

As an Instructor, you acknowledge and agree that users have the right to receive a refund as set forth in this section. Neither instructors nor the company shall receive any payments, fees or commissions for any transactions for which a refund has been granted. In the event that a user requests a refund for a course and/or exam after FYnderFY has sent a payment for that course and/or exam, FYnderFY reserves the right to either (1) deduct the amount of such refund from the next payment to be sent to that instructor, or (2) require the instructor to refund any amounts refunded to users for the instructor's course to the extent no additional payments are due from FYnderFY to the Instructor/Educator or such payments due Instructor are insufficient to cover the amounts refunded to users.

The trademarks, service marks and logos ("Trademarks") used and displayed on the Platform or in any FYnderFY content are our registered or unregistered Trademarks or of our suppliers or third parties and are protected pursuant to U.S. and foreign trademark laws. All rights are reserved and you may not alter or obscure the trademarks, or link to them without our prior approval.

Users of the Platform may have access to FYnderFY and other Platform users personal, business, professional, educational, company and other information. Each party shall hold the other's confidential information in confidence, and not use or disclose such confidential information to third parties except as required and/or permitted in order for a party, user or FYnderFY to perform its obligations or exercise its rights under this Agreement. Confidential information shall not include any information that: (1) is or becomes (through no fault of the receiving party) generally available to the public; (2) was in the receiving party's possession or known by it without restriction prior to receipt from the disclosing party; (3) was rightfully disclosed to it by a third party; or (4) was independently developed without use of any confidential information of the disclosing party. Each party may make disclosures required by law or court order provided the party making such disclosures uses diligent reasonable efforts to limit disclosure of confidential information and to obtain confidential treatment or a protective order. Notwithstanding anything else, we may identify you as a user of FYnderFY.

THE PLATFORM, FYNDERFY CONTENT, SUBMITTED CONTENT, COURSES AND ANY OTHER MATERIALS MADE AVAILABLE ON OR THROUGH THE SITE OR THE PRODUCTS ARE PROVIDED "AS IS," WITHOUT ANY WARRANTIES OF ANY KIND AND THE COMPANY HEREBY DISCLAIMS ALL SUCH WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, FREEDOM FROM ERRORS, SUITABILITY OF CONTENT OR AVAILABILITY.

NEITHER PARTY SHALL BE LIABLE HEREUNDER UNDER ANY THEORY OF LIABLITY, INCLUDING, WITHOUT LIMITATION, CONTRACT, TORT OR NEGLIGENCE, FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS. THE COMPANY'S TOTAL LIABILITY HEREUNDER SHALL BE LIMITED TO THE AMOUNTS PAID IN CONNECTION WITH THE COURSES OR PRODUCTS UNDER WHICH SUCH LIABILITY AROSE.

You hereby indemnify, defend and hold harmless FYnderFY and its affiliates, officers, directors, agents, partners, employees, licensors, representatives and third-party providers from and against all losses, expenses, damages, costs, claims and demands, including reasonable attorneys' fees and related costs and expenses, due to or arising out of your breach of any representation or warranty hereunder. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to fully cooperate with such defense and in asserting any available defenses.

We may terminate your use of the Platform immediately without notice for any breach by you of these Terms of Use or any of our applicable policies, as posted on the Platform from time to time. We may discontinue offering any product, course, or content at any time (which will terminate your right to offer these courses if you are an Instructor/educator). You may terminate your use of the Platform or the products at any time, either by ceasing to access them, or by contacting us at support.training@interworks.com.mk (but if you are an Instructor/educator, users enrolled in your courses prior to termination shall continue to have access to them for the duration of the course). We have no obligation to retain any of your Account or Submitted Content for any period of time beyond what may be required by applicable law. Upon termination, you must cease all use of the Platform and Content.

Entire Agreement. These Terms and any policies applicable to you posted on the Platform constitute the entire agreement between the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter.
Severability. If any provision of these Terms of Use is found to be illegal, void or unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the validity and enforceability of any remaining provisions of these Terms of Use.
Waiver. A provision of these Terms of Use may be waived only by a written instrument executed by the party entitled to the benefit of such provision. The failure of FYnderFY to exercise or enforce any right or provision of these Terms of Use will not constitute a waiver of such right or provision.
Notice. Any notice or other communication to be given hereunder will be in writing and given by facsimile, postpaid registered or certified mail return receipt requested or electronic mail.
No Agency. Nothing in these Terms of Use shall be construed as making either party the partner, joint venture, agent, legal representative, employer, contractor or employee of the other. Neither FYnderFY nor any other party to this Agreement shall have, or hold itself out to any third party as having any authority to make any statements, representations or commitments of any kind, or to take any action that shall be binding on the other except as provided for herein or authorized in writing by the party to be bound.
These Terms of Use and Your use of the Platform shall be governed by the substantive laws of the State of Texas, without reference to its choice or conflicts of law principles.

As a FYnderFY Recruiter/Company user (Recruiter), you will be will be able to use the FYnderFY Platform to find, interact and collaborate with educators and active and passive candidates as well as to find, verify, test and/or assess, qualify and quantify active and passive candidates.

Recruiter/Company users can use the Platform to post job ads; import job ads as part of the recruiting; search and evaluate the 360-degree ProfessionalProfile views of FYnderFY candidates; and/or test a candidate's knowledge, skills and expertise through FYnderFY Micro-Courses, (one offering), Micro-Course Bundles, Micro-Exams, certifications and badges ("Educational Programs"). The Platform also offers patent-pending, industry-first technology that quickly assesses, quantifies and qualifies hundreds of resumes to produce a FYnderFY Candidate RecruitRanking, providing a side-by-side and fully transparent, 360-degree view and ProfessionalCredibility Score of the best candidates and matches for the job post. FYnderFY Employee TalentRanking, provides a side-by-side and fully transparent, 360-degree view and ProfessionalCredibility Score of a company's employees. This user group can also utilize the Platform to post custom training and educational materials as a value-added tool to help manage and evaluate current employee's knowledge, skills and expertise and/or compliance in certain key areas.

As a FYnderFY Recruiter user member, you are offered several levels and price options to maximize your use of the Platform. There are various FYnderFY Recruiter Membership Levels (Advanced and/or Complete) that offer the ability to earn micro-payments or fees/commissions for requiring candidates to take FYnderFY Educational Programs (one offering), as part of the hiring and evaluation process. At those levels, the Recruiter member may also opt to pay some or all candidates for Educational Programs (one offering) as part of the hiring and evaluation process.

There are four FYnderFY Recruiter user member pricing tiers to choose from – Basic, Intermediate, Advanced and Complete – each providing an option of paying monthly, quarterly, or annually.

Micro-payments of fees/commissions are available to (advanced and/or complete) Recruiters
Generally FYnderFY will pay a 25% fee/commission or micro-payment of the amount charged for required/mandatory Educational Programs (one offering) as part of your recruiting and/or hiring process, less any refunds paid, applicable sales or other taxes (if any), and any amounts paid in connection with FYnderFY Marketing Programs you participate in.
You will be able to increase your portion of the fee/commission by up to 10% based on Platform user's feedback on your recruiting and/or hiring process.
You will be able to increase your portion of the fee/commission by up to 10% by providing feedback on active and passive candidate interactions as part of your recruiting and/or hiring process.
You may team with Educators to create Educational Programs (one offering) as part of your recruiting and/or hiring process, your evaluation of current employee's knowledge, skills and expertise, or compliance in certain key areas. In such cases, you will receive a 35% fee/commission or micro-payment of the amount charged for required/mandatory Educational Programs (one offering). The price for all Educational Programs (one offering) will be set by the Educator and/or Recruiter or both. You agree FYnderFY will handle billing and other fee interaction with Platform users. FYnderFY also will manage and handle micro-payments to you as well as Educators. You authorize FYnderFY to perform the appropriate calculations, deduct and retain the transaction fee, and pay you the balance as indicated above. All payments are made 45 days after the end of the month for the previous month's course fees collected.

If you elect to access or use our Platform and its products and/or services that involve payments of a membership fee or payments to and/or from you for Educational Programs (one offering) as part of the hiring and evaluation process, you agree to pay or receive payments, and if applicable, you will be responsible for payment of that fee and taxes. If you sign up to receive micro-payments, you are subject to all taxes associated with such access, use and payments. If you provide a personal or company credit card and support information to pay for such fees, then you hereby represent and warrant that you are authorized to supply such information and hereby authorize FYnderFY to charge your credit card on a regular basis to pay the fees as they are due. Unless otherwise stated, all fees are quoted in U.S. Dollars. If your payment method fails or your account is past due, FYnderFY may collect fees owed using other collection mechanisms. This may include charging other payment methods on file with us and/or retaining collection agencies and legal counsel. We also may block your access to any FYnderFY products pending resolution of any amounts due by you to FYnderFY.

As a Recruiter Platform user you agree to the full and complete terms as stated in the FYnderFY Terms of Use posted on this website. FYnderFY possesses the rights to change or amend the Terms of Use at any time.

FYnderFY Candidate/Digital Profile/Students/Professionals ("Candidate") users will be will be able to utilize the FYnderFY Platform to find, interact and collaborate with educators and recruiters, as well as continue to learn and hone knowledge, skills and expertise through its Micro-Courses, Micro-Course Bundles, Micro-Exams, Certifications and Badges ("Educational Programs").

The FYnderFY Platform also will be available to Candidate users to build and maintain their FYnderFY 360-Degree ProfessionalProfile, as well as sync it to their other digital profiles, such as LinkedIn, Facebook, Google+ and Twitter. The Platform also offers patent-pending, industry-first technology that can assess, quantify and qualify candidate's knowledge, skills and expertise through their FYnderFY Educational Programs, Courses and Exams to produce their FYnderFY ProfessionalCredibility Score, as well as to:

Find and be matched with jobs
Take baseline evaluations, aptitude/career/logic and other tests
Communicate directly with recruiters
Candidates also can earn micro-payments for posting the results of their completed FYnderFY Educational Programs on LinkedIn. A micro-payment of $1 for each successfully completed FYnderFY Educational Program posted on LinkedIn.

FYnderFY offers three membership levels to Candidates:

Professional – for users with more than one year's continuous actual professional working experience
Student – for users with one year or less continuous actual professional working experience

Student members are offered two ways to pay for the Educational Programs: at the time of participation, or once they are hired or have a "hiring" event. As a FYnderFY Instructor / Educator / College / University / Subject Matter Expert ("Educator"), you will be responsible for determining the fees charged to users for your courses/exams (considered one offering), bundles, certifications and badges. We expect our educational partners to price all Micro-Courses, Micro-Course Bundles, Micro-Exams, Certifications and Badges ("Educational Programs") at fair market value.

An Educator may qualify to become a FYnderFY Strategic Educational Partner by meeting the following criteria:

Agree to post and maintain 10 or more Educational Programs on the FYnderFY Platform
Are invited to become a FYnderFY Strategic Educational Partner
Sign a FYnderFY Strategic Educational Partnership Agreement
Pay an annual fee as listed in the FYnderFY Strategic Educational Partnership Agreement
Agree to joint market development and marketing programs as listed in the Strategic Educational Partnership Agreement
Agree to develop Educational Programs with FYnderFY.

Generally, FYnderFY will pay you a 50% fee/commission or micro-payment of the amount charged for your Educational Programs, less any refunds paid, applicable sales or other taxes (if any), and any amounts paid in connection with marketing programs that you participate in.
You agree to take part in the FYnderFY Affiliate Network program.
You have the ability to use the FYnderFY Platform for your School/University/Educational Institution students to build/maintain their individual FYnderFY 360-Degree ProfessionalCredibility Score.
You will be able to increase your portion of the fee and/or commission by up to 25% based on Platform user's feedback on your Educational Programs.
You will be able to increase your portion of the fee and/or commission for your Educational Programs for offering "strategic pricing" as noted below.
Your fee/commission will be reduced for Educational Programs for offering "above market pricing" as noted below.

FYnderFY will pay Educators a 30% fee/commission or micro-payment of the amount charged for your Educational Programs, less any refunds paid, applicable sales or other taxes (if any) and any amounts paid in connection with marketing programs that you participate in.
You will be able to increase your portion of the fee and/or commission by up to 20% based on Platform user's feedback of Educational Programs.
You also will be able to increase your portion of the fee/commission for your Educational Programs by offering "strategic pricing" as noted below.
Your fee and/or commission will be reduced for your Educational Programs by offering "above market pricing" as noted below.

Every month FYnderFY spends tens of thousands of dollars on Educational Programs and training, as well as specific online advertising. Including your Educational Programs in the FYnderFY Joint Marketing Paid Ad Program is a great way to increase student enrollment and sales.

Through the FYnderFY Joint Marketing Paid Ad Program, FYnderFY may purchase and place advertisements for your Educational Programs on third-party websites, and will track the resulting sales through appropriate means and billing engines. By participating in the FYnderFY joint marketing paid ad program, you agree that FYnderFY is entitled to an advertising fee of 50% of sales resulting from advertisements that are paid for by FYnderFY.

This program allows FYnderFY to promote your Educational Programs and drive additional income.

We highly recommend that you participate in the FYnderFY Joint Marketing Promo Program. We use promotions, deals and price tests to find the optimal price for your Educational Programs. Since our revenue is linked to your fees/commissions, our marketing programs and incentives are aligned so that we find the optimal price point to maximize sales of your Educational Programs.

By participating in the FYnderFY Joint Marketing Promo Program, you agree that we may offer your Educational Programs in limited time for a discount of up to and including 75% off the price you set. You understand that a limited-time deal also may encompass an affiliate, which will affect the final fees remitted. Special pricing also may be promoted through the Platform, or third-party websites at a discount. Special pricing and other promotions are typically available for less than a month, but you acknowledge that the actual duration and amount discounted may vary.

We highly recommend that you participate in the FYnderFY Recruiter Partner Program. This program will help support the FYnderFY Platform and network and allows all users to find, verify, qualify and quantify each other.

Our Platform allows recruiters to identify Educational Programs that they would like to see candidates take as part of the hiring and/or evaluation process. This will help your Educational Programs drive additional income. Recruiters who choose such Educational Programs will receive 25% of the fee/commission or micro-payment.

By participating in the FYnderFY Recruiter Partner Program, you agree that recruiters may offer your Educational Programs and receive 25% of the fee and/or commission or micro-payment for your Educational Programs.

We highly recommend that you include your Educational Programs in our FYnderFY Affiliate Network Program. We team with many leading affiliates that promote the FYnderFY Platform's Educational Programs. By including your Educational Programs in the FYnderFY Affiliate Network Program, you will increase exposure and sales of your Educational Programs. You may also want to become an affiliate and promote all FYnderFY Affiliate Network Programs on your website and earn affiliate fees. When a FYnderFY affiliate promotes your Educational Programs, a portion of the fee for each user the FYnderFY affiliate refers to the Educational Programs is paid to the FYnderFY affiliate. You agree that FYnderFY may deduct the FYnderFY affiliate's fee before calculating the amount remitted to you. The standard amount paid to the FYnderFY affiliate is 20% of the amount the user pays for the Educational Programs, but you acknowledge that this amount may vary. FYnderFY instructors may also choose to be FYnderFY affiliates for their own courses. If a user purchases an instructor's course using a coupon code created by that same instructor, this purchase will be assumed to be a FYnderFY affiliate transaction and the instructor will be paid the appropriate affiliate fee.
